Dangote extends refinery IPO deadline to October 27

By HER staff reporter

Investors in Kenya and across the region seeking to acquire a stake in the multi-billion-dollar Dangote Petroleum Refinery and Petrochemicals have been granted additional time to participate in the ongoing share offer. The initial public offering (IPO) deadline has been officially extended by two weeks, pushing the final closing date from the original schedule of October 13 to October 27, 2026.

The revised timeline was approved by the Nigerian Securities and Exchange Commission (SEC) to accommodate prospective investors requiring more time to complete administrative procedures, finalize documentation, and fulfill participation requirements. The high-profile offering originally opened on September 14, featuring a massive block of 4.1 billion ordinary shares priced at 525 Nigerian naira per share.

A central feature of the regional rollout is the accessibility afforded to Kenyan investors through Global Depositary Receipts (GDRs). These instruments represent underlying shares in a foreign entity, enabling seamless cross-border investment through familiar domestic market frameworks.

The Capital Markets Authority (CMA) granted regulatory approval for the Kenyan GDR prospectus—submitted by Renaissance Capital (Kenya) Limited—on October 5, effectively paving the way for smooth local engagement. To broaden market participation and attract retail as well as institutional interest, the financial terms have been structured to lower entry barriers. Each GDR is priced at Ksh53.50, with the minimum subscription threshold significantly slashed to just 10 receipts, totaling an accessible investment of Ksh535. This marks a dramatic reduction from earlier entry requirements, which mandated a minimum purchase of 2,000 receipts amounting to Ksh107,000.

While the lower threshold enables smaller investors to take part with minimal initial capital, financial advisors note that additional statutory charges, broker fees, and applicable regulatory requirements may influence the total final cost.

Managing an offering of this scale across multiple jurisdictions requires robust institutional backing. A consortium of prominent financial institutions and brokerage firms has been designated to facilitate the offer and assist investors with subscriptions. These facilitators include CPF Capital and Advisory, SBG Securities and Stanbic Bank, Francis Drummond & Co Limited, National Bank of Kenya alongside Access Bank, Sterling Capital, Kestrel Capital, and AXYS Investment Bank.

The concerted framework aims to bridge the Nigerian capital markets ecosystem with regional East African investors, ensuring seamless transaction processing while complying with strict regulatory safeguards across borders. Market analysts emphasize that the offering concerns the operational Dangote Petroleum Refinery and Petrochemicals facility in Nigeria, clarifying that it is distinct from proposed domestic energy ventures, such as the planned refinery project in Lamu County, Kenya.

Following the two-week extension to October 27, the operational calendar for the share allocation and subsequent trading debut has been adjusted accordingly.

According to the updated schedule, the collation and processing of application returns by receiving agents will run through November 3. This will be followed by the formal submission of the proposed share allocation models to Nigeria’s apex securities regulator on November 10. Regulatory clearance of the allocation list is anticipated by November 17, paving the way for official trading to commence in early December, pending the successful completion of final clearing and depository procedures.
